These terms and conditions of use (“Terms of Use”) govern your use of our online interfaces and properties (e.g., websites and mobile applications) owned and controlled by Mavida Health, Inc. (“Mavida”), including the www.mavidahealth.com website (the “Site”) and the services available to users through the Site (“Services”). Your compliance with these Terms of Use is a condition of your use of the Site. If you do not agree to be bound by the Terms of Use, promptly exit this Site. Please also consult our Privacy Policy for a description of our privacy practices and policies, including how we collect and handle your personal health information and financial information in accordance with HIPAA and applicable state privacy laws. By using our Services, you expressly consent to our collection, use, and disclosure of your information as described in our Privacy Policy. Mavida is a technology platform that facilitates connections between patients and healthcare providers. Mavida does not engage in the practice of medicine or provide any diagnostic, therapeutic or clinical services. No act or service provided by Mavida pursuant to these Terms of Use should be construed or deemed to constitute the practice of medicine or any clinical profession for which a professional license is required. Mavida contracts with certain independent professional corporations and their affiliated medical services providers including Mavida Care Group of California, P.C., Mavida Care Group of New Jersey, P.C. and Perinatal Maternal Psychiatry of New York, P.C., which are independent of Mavida and use the Service as a way to communicate with you. Any information or advice received from a provider comes from them alone, and not from Mavida. Your interactions with the providers via the Service are not intended to take the place of your relationship with your primary care provider. Neither Mavida, nor any of its subsidiaries or affiliates or any third party who may promote the Service or provide a link to the Service, shall be liable for any professional advice obtained from a health care provider via the Service or for any other information obtained on the website. Mavida does not endorse any specific tests, physicians, medications, products or procedures that are recommended by providers that may use Mavida to communicate with you. You acknowledge that your reliance on any healthcare providers or information provided by the providers via the Service is solely at your own risk and you assume full responsibility for all risk associated herewith. Mavida does not make any representations or warranties about the training or skill of any healthcare providers who provide services via the Service. You will be provided with a list of available providers located in the United States based solely on the information you, your employer or your plan sponsor provides to Mavida. You are ultimately responsible for choosing your particular healthcare provider.

1. Ownership of the Site and Related Materials

All pages within this Site and any material made available for download are the property of Mavida, or its licensors or suppliers, as applicable. The Site is protected by United States and international copyright and trademark laws.

2. Electronic Communications

When you use any Mavida Services, or send e-mails, text messages, and other communications from your desktop or mobile device to us, you are communicating with us electronically. You consent to receive communications from us electronically. You agree that (a) all agreements and consents can be signed electronically and (b) all notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such notices and other communications be in writing.

Your consent to receive communications from Mavida electronically may include information such as including a link to access a visit, notifications when the provider is ready, and a follow up after the visit. Messages received via Email or SMS are not encrypted. These messages can be read by people outside the healthcare organization without your approval.

With respect to SMS messages, message and data rates may apply for any messages sent to you from us and to us from you. You will receive a varied frequency of messages. If you have any questions about your text plan or data plan, it is best to contact your wireless provider. 3. Site Access, Security and Restrictions; Passwords

If you create a patient account with Mavida, you agree to complete the registration process by providing current, complete, and accurate information as required by Mavida. You are responsible for all activities that occur under your account. In the event access to the account or a portion thereof is limited requiring a user ID and password (“Protected Areas”), you agree to access Protected Areas using only your user ID and password as provided to you by Mavida. You agree to protect the confidentiality of your user ID and password, and not to share or disclose your user ID or password to any third party. You agree that you are fully responsible for all activity occurring under your user ID. Your access to the Site may be revoked by Mavida at any time with or without cause. You are prohibited from violating or attempting to violate the security of the Site, including, without limitation, (a) accessing data not intended for such user or logging onto a server or an account which the user is not authorized to access; or (b) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; or (c) accessing or using the Site or any portion thereof without authorization, in violation of these Terms of Use or in violation of applicable law. If you are under 18, you may use the Mavida Services only with involvement of a parent or guardian. You may not use any scraper, crawler, spider, robot or other automated means of any kind to access or copy data on the Site, deep-link to any feature or content on the Site, bypass our robot exclusion headers or other measures we may use to prevent or restrict access to the Site. Violations of system or network security may result in civil or criminal liability. Mavida will investigate occurrences that may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations. You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of this Site or any activity being conducted on this Site.

4. No Medical Advice or Services

IF YOU THINK YOU HAVE A MEDICAL EMERGENCY, CALL YOUR DOCTOR OR 911 IMMEDIATELY. DO NOT RELY ON ELECTRONIC COMMUNICATIONS OR COMMUNICATION THROUGH THE MAVIDA SERVICES FOR IMMEDIATE MEDICAL NEEDS. THIS PLATFORM IS NOT DESIGNED TO FACILITATE MEDICAL EMERGENCIES.

Mavida does not practice medicine or provide medical services. The Mavida Service enables certain affiliated health care providers that may, in appropriate circumstances, establish a doctor patient relationship between you and such independent third-party health care provider. Any content or tool on this platform, such as text, data, illustrations, graphical elements, animation, photos, images, and other materials, is provided "as is" and "as available" for reference and educational purposes only, without any warranties, express or implied. Such content and tools are not meant to be complete or exhaustive or meant to be applicable to any specific individual's medical condition. These resources should not be used to make a diagnosis or to replace or overrule a qualified health care provider's judgment. You are strongly encouraged to consult with a qualified health care professional for answers to personal questions.

Mavida has created and maintains the Mavida Service to provide general information about Mavida, and to assist individuals in obtaining health care services and general health information. Information appearing on the Mavida Service and any other sources may be prepared by health care providers or staff affiliated with Mavida, affiliated professional organizations, or it may be contributed by outside sources. The Mavida Service and sites may also contain links to external, non-Mavida platforms or sites for your convenience. Mavida entities are not responsible for the availability or accuracy of the content appearing on such external, non-Mavida platforms or web sites, nor do they endorse them. All users are strongly advised to carefully read the terms of use, privacy policies, copyright notices and disclaimers for any external, non-Mavida sites they access in addition to those terms, policies, notices and disclaimers for platforms maintained by Mavida entities.

You assume full responsibility for using the information on this site, and you understand and agree that no Mavida entity is responsible or liable for any claim, loss, or damage resulting from use of such information by you or any other user.

5. License and Access

Subject to your compliance with these Terms of Use and your payment of any applicable fees, Mavida or its content providers grant you a limited, non-exclusive, non-transferable, non-sub-licensable license to access and make personal and non-commercial use of the Mavida Services. This license does not include any resale or commercial use of any Mavida Service, or its contents; any collection and use of any service listings, descriptions, or prices; any derivative use of any Mavida Service or its contents; any downloading, copying, or other use of account information for the benefit of any third party; or any use of data mining, robots, or similar data gathering and extraction tools. All rights not expressly granted to you in these Terms of Use are reserved and retained by Mavida or its licensors, suppliers, publishers, rights holders, or other content providers. No Mavida Service, nor any part of any Mavida Service, may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of Mavida. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Mavida without express written consent. You may not use any meta tags or any other “hidden text” utilizing Mavida's name or trademarks without the express written consent of Mavida. You may not misuse the Mavida Services. You may use the Mavida Services only as permitted by law. The licenses granted by Mavida terminate if you do not comply with these Terms of Use. The Contents of the Site, including without limitation the files, documents, text, photographs, images, audio, and video, and any materials accessed through or made available for use or download through this Site (“Content”) may not be copied, distributed, modified, reproduced, published or used, in whole or in part, except for purposes authorized or approved in writing by Mavida. You may not frame or utilize framing techniques to enclose, or deep linking to, any name, trademarks, service marks, logo, Content or other proprietary information (including; images, text, page layout, or form) of Mavida without our express written consent.

6. Payment Policy

For cash pay patients, care is billed the following rates:

We accept all major credit cards as well as HSA/FSA cards, but there must be a credit card on file in case the balance cannot cover the charge. We are also in-network with select insurance carriers, the latest information on which is available on our website.

You are able to cancel or change your appointment until 2 business days before your session, after which point any cancellation, no-show, or reschedule will be charged the full cash pay amount for the session to your credit card on file. For appointments on Mondays, the previous Thursday will be the latest you can cancel or change your appointment without being charged. This policy applies for both insurance as well as cash pay patients. We reserve the sole right to make exceptions to this cancellation policy on a case-by-case basis for circumstances such as documented illness or family emergency.

7. Financial Responsibility

Insurance Coverage: Mavida Health has the option to utilize my health insurance benefits to cover some or all of the costs associated with counseling services. Mavida Health is responsible for verifying my insurance coverage, including any copayments, deductibles, or limitations that may apply.

Authorization for Billing: Claims will be sent to the patient’s insurance provider on their behalf for the counseling services provided. The information required for billing purposes may include but is not limited to, patient’s diagnosis, treatment plan, and other relevant details.

Verification of Benefits: It is the patient’s responsibility to verify and understand their insurance benefits, including coverage limits and any out-of-pocket expenses. The practice may assist in verifying benefits, but ultimate responsibility lies with the patient.

Billing Information: Patient agrees to provide accurate and up-to-date information related to their insurance coverage. Any changes to insurance information will be communicated promptly to Mavida Health.

Financial Responsibility: Patient acknowledges and agrees that they are ultimately responsible for any and all fees not covered by their insurance, including but not limited to copayments, deductibles, or fees associated with services that are not covered, regardless of any insurance verification or benefits confirmation provided by Mavida Health. Moreover, the patient further agrees to pay any legal interest, collection expenses, and attorneys’ fees incurred to collect any amounts owed. Payment for such fees is due at the time of service. Mavida Health reserves the right to suspend or terminate services immediately for any unpaid balances, and to refer unpaid accounts to collections agencies or legal counsel without further notice.

Refusal to Pay: If patients fail to pay or attempt to avoid payment through any means, including but not limited to failing to update expired payment methods, initiating chargebacks, or disputing valid charges, Mavida Health reserves the right to immediately terminate services, pursue all available legal remedies for collection, and report such actions to credit bureaus and/or relevant healthcare providers.

Confidentiality: Submitting insurance claims requires sharing information about my counseling sessions. While the practice will take measures to maintain confidentiality, I acknowledge that the insurance company may require certain information for claims processing.

8. Accuracy and Integrity of Information

Although Mavida attempts to ensure the integrity and accurateness of the Site, it makes no representations, warranties or guarantees whatsoever as to the correctness or accuracy of the Site and Content thereon. It is possible that the Site could include typographical errors, inaccuracies or other errors, and that unauthorized additions, deletions and alterations could be made to the Site by third parties. In the event that an inaccuracy arises, please inform Mavida so that it can be corrected. Information contained on the Site may be changed or updated without notice. Additionally, Mavida shall have no responsibility or liability for information or Content posted to the Site from any non-Mavida affiliated third party.

9. Links to Other Sites

Mavida makes no representations whatsoever about any other website that you may access through this Site. When you access a non-Mavida site, please understand that it is independent from Mavida, and that Mavida has no control over the Content on that website. In addition, a link to a non-Mavida website does not mean that Mavida endorses or accepts any responsibility for the Content, or the use, of the linked site. It is up to you to take precautions to ensure that whatever you select for your use or download is free of such items as viruses, worms, Trojan horses, and other items of a destructive nature. If you decide to access any of the third-party sites linked to this Site, you do this entirely at your own risk.

10. User Information

If you submit, upload, post or transmit any health information, medical history, conditions, problems, symptoms, personal information, consent forms, agreements, requests, comments, ideas, suggestions, information, files, videos, images or other materials to us or our Site (“User Information”), you agree not to provide any User Information that (1) is false, inaccurate, defamatory, abusive, libelous, unlawful, obscene, threatening, harassing, fraudulent, pornographic, or harmful, or that could encourage criminal or unethical behavior, (2) violates or infringes the privacy, copyright, trademark, trade dress, trade secrets or intellectual property rights of any person or entity, or (3) contains or transmits a virus or any other harmful component. You agree not to contact other site users through unsolicited e-mail, telephone calls, mailings or any other method of communication. You represent and warrant to Mavida and its providers that you have the legal right and authorization to provide all User Information to Mavida and its providers for use as set forth herein and required by Mavida and the provider. You agree to indemnify and hold harmless Mavida, its affiliates, employees, contractors, and licensors from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your User Information or violation of these terms.

11. Claims of Copyright Infringement

We disclaim any responsibility or liability for copyrighted materials posted on our site. If you believe that your work has been copied in a manner that constitutes copyright infringement, please follow the procedures set forth below. Mavida respects the intellectual property rights of others and expects its users to do the same. In accordance with the Digital Millennium Copyright Act (“DMCA”), we will respond promptly to notices of alleged infringement that are reported to Mavida's Designated Copyright Agent, identified below. Notices of Alleged Infringement for Content Made Available on the Site. If you are a copyright owner, authorized to act on behalf of one, or authorized to act under any exclusive right under copyright, please report alleged copyright infringements taking place on or through our Site by sending us a notice (“Notice”) complying with the following requirements. Identify the copyrighted works that you claim have been infringed. 14. Dispute Resolution

Mavida will try to work in good to resolve any issue you have with the Site, including services ordered or purchased through the Site, if you bring that issue to the attention of our customer service department. However, we realize that there may be rare cases where we may not be able to resolve an issue to a customer's satisfaction. In the event we cannot resolve a dispute between us, you agree that all matters related to any use or access of the Site, the Services or any other Mavida site will be governed by the laws of the State of California, without regard to its conflicts of laws rules. You hereby waive any objections to such jurisdiction or venue. Any claims or controversies arising out of or relating to this Agreement, and/or the related use and access of the Site, the Services or any other Mavida site, shall be exclusively brought in the state and federal courts located in San Francisco, CA. You hereby consent to the personal jurisdiction of such courts and waive any objection to the exercise of jurisdiction by such courts. Any claim or cause of action arising out of or related to use of the Site or these Terms must be filed within one (1) year after such claim or cause of action arose regardless of any statute or law to the contrary.

15. Force Majeure

We will not be deemed to be in breach of these terms or liable for any breach of these terms or our Privacy Policy due to any event or occurrence beyond our reasonable control, including without limitation, acts of God, terrorism, war, invasion, failures of any public networks, electrical shortages, earthquakes or floods, civil disorder, strikes, fire or other disaster.

16. Indemnity

You agree to defend, indemnify and hold Mavida, its officers, directors, employees, agents, licensors, and suppliers harmless from and against all third-party claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys' fees and costs) against or incurred by Mavida arising out of or related to:(i) your breach of these Terms of Use; (ii) your violation of applicable law; (iii) access by anyone accessing the Site using your user ID and password; (iv) your User Content; or (v) your use or misuse of the Site or Services. Notwithstanding the foregoing or anything to the contrary herein, Mavida shall only exercise its rights in this Section after addressing applicable claims with Your employer or health plan should you be accessing the Site or Services through your employer or health plan.

17. Right to Modify Revisions

Mavida reserves the right to modify these Terms of Use at any time in its sole discretion, effective upon posting. We will notify you of any material changes to these Terms of Use through a prominent notice on the Site or by sending you an email to the email address you provided. Your continued use of the Site after such notification constitutes your acceptance of the modified Terms of Use. Any use of this website after such changes will be deemed an acceptance of those changes. You agree to review the Terms of Use each time you access this website so that you may be aware of any changes to these Terms. Mavida uses Google Analytics, a third-party tracking service, which uses cookies to track non-personal identifiable information about our visitors to our main site in the aggregate to capture usage and volume statistics. Mavida has no access to or control over these cookies. The companion Privacy Policy covers the use of cookies by Mavida only and does not cover the use of cookies by any third-party. Mavida reserves the right, in its sole discretion, to terminate your access to all or part of this Site, with or without cause, and with or without notice. In the event that any of the Terms of Use are held by a court or other tribunal of competent jurisdiction to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that these Terms of Use shall otherwise remain in full force and effect. These Terms of Use constitute the entire agreement between Mavida and you pertaining to the subject matter hereof. In its sole discretion, Mavida may from time-to-time revise these Terms of Use by updating this posting.
